What is a general partnership?
A general partnership is a business structure where two or more people share ownership, profits, and — importantly — unlimited personal liability for the business’s debts and obligations.
Do I need a written partnership agreement?
It isn’t always legally required, but it’s strongly recommended. Without one, provincial default rules decide how profits, losses, and disputes are handled — which rarely matches what partners actually intended.
How is a general partnership different from an LLP?
In a general partnership, every partner has unlimited personal liability. A limited liability partnership (LLP) — typically used by licensed professionals — limits each partner’s liability for the others’ actions.
Can a general partnership hire employees?
Yes. Once registered and set up with a CRA business number and payroll account, a general partnership can hire staff just like any other business structure.
